01These terms
These terms apply to the work Aevion Labs(“we”) agrees to do for a business (“you”). Together with the proposal you accept, and any Aevion Care agreement, they form our contract. If anything in your proposal or care agreement differs from these terms, the proposal or agreement wins.
These terms are written for businesses. If you are buying as a consumer, tell us before you accept a proposal and we will give you terms that reflect your statutory rights.
02Proposals and scope
Before any work starts, we send a proposal that sets out what is included, the price, the timeline, the payment milestones and what is not included. Work starts once you accept it. If you later want something outside that scope, we will quote for it, and nothing changes until we have both agreed the change in writing.
03The prototype and approval
Every website and product starts with a working prototype that you can use in your browser. We collect your feedback and agree any changes to the scope. The production build goes ahead once you approve the prototype. The same team then builds, tests and prepares the approved work for launch.
04Prices and payment
Our standard prices are:
- Website Launch: £2,500, paid upfront.
- Website Launch Flex: £3,000, paid as £1,000 a month for 3 months.
- Aevion Care: £500 a month, charged separately from the website fee.
SaaS, web apps, business tools and other larger builds are quoted from the brief. Your proposal confirms the price, when each payment is due and when Aevion Care starts. If we are registered for VAT, VAT is added at the applicable rate and shown on the invoice.
Invoices are due by the date shown on them. If a payment is late, we may pause work until it is made, and we may claim interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
05Your part
To keep a project on time, we need your content, access, feedback and decisions when agreed. You confirm that anything you give us to use, such as text, images, logos or data, is yours to use or properly licensed. If input arrives late, the timeline moves with it.
06Ownership
Once you have paid in full, you own the code, design and content we create specifically for you. The code lives on a repository in your account, and your domain, hosting and content management accounts are in your name.
We keep ownership of our own pre-existing tools, know-how and general-purpose components, and give you a permanent licence to use them as part of what we built for you. Third-party software, fonts and assets stay under their own licences. We may mention the project in our portfolio unless you ask us not to.
07Aevion Care
Aevion Care looks after your website once it is live. It covers:
- Managed hosting for your website.
- SSL and standard security set-up.
- Routine maintenance and technical updates.
- Backups and recovery support, where your platform allows.
- Uptime and performance monitoring.
- Aevion View, your own dashboard of traffic, enquiries, speed and uptime.
- Conversion and lead tracking, where it is set up.
- A set allowance of minor website updates.
- Technical support.
Your agreement sets out the update allowance, support hours, response targets, third-party fees, exclusions and how to cancel. Redesigns, substantial new features, complex integrations and work beyond the allowance are scoped and quoted separately.
08Confidentiality
We each keep the other's confidential information confidential, and use it only for the project, unless the law requires us to disclose it or it is already public through no fault of the other.
09Data protection
Where we handle personal data on your behalf, for example your customers' details in a system we build or host, we act as your processor. We will sign a data processing agreement that meets Article 28 of the UK GDPR and handle that data only on your instructions. How we use our own contacts' data is explained in our privacy notice.
10Quality and fixes
We carry out the work with reasonable skill and care. If something we delivered does not work as agreed, tell us and we will fix it. Your proposal sets out any warranty period after launch.
11Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow us to limit.
Otherwise, neither of us is liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill. Our total liability for a project is limited to the fees you have paid for that project, and for Aevion Care to the fees paid in the twelve months before the claim.
12Ending the work
Either of us may end a project by written notice if the other seriously breaches these terms and does not put it right within 14 days of being asked, or becomes insolvent. You pay for the work done up to the end date. Aevion Care can be cancelled as set out in your care agreement.
13Events outside our control
Neither of us is responsible for delays caused by events outside our reasonable control. If one happens, we will tell you and agree a new timeline.
14General
These terms, your proposal and any care agreement are the whole agreement between us. Changes must be agreed in writing. Nobody else has rights under our contract. Neither of us may transfer it without the other's consent. It is governed by the law of England and Wales, and its courts have jurisdiction. Questions: hello@theaevionlabs.com.
